Centre for Independent Directors, IICA, organized CEO Dialogue with Mr. R Gopalakrishnan and Mr. Nawshir Mirza program for the members of Independent Director’s Databank on Friday 16th April, 2021.

The main objective of this event was to introduce Databank members with Industry experts having rich work experience so that members could use such valuable experience in professional life and could become more dynamic & effective board member rather than just Yesman.

The Program commenced on 16th April, 2021 at 05:00 PM with the theme address of Dr. Niraj Gupta, Head, School of Corporate Governance and Public Policy & Nodal Officer, Independent Director’s Databank, IICA. He briefed the participants about Mr. R Gopalakrishnan and Mr. Nawshir Mirza and their legacy of corporate leadership.

Principal speaker:
Mr. R GopalaKrishnan is retired director of Tata Sons Ltd. And has also served Hindustan Lever Ltd as Vice-Chairman and poses many years of rich corporate experience around the world.

Mr. Gopalakrishnan shared his experience as board member of prestigious corporate houses of the country and working around the world with business leaders of different nationalities. He emphasised on ethical corporate culture for long-term success of any organization and role of board members to ensure best corporate governance norms and policies. How Independent Directors could complement executive directors in governance challenges while contributing in value creation and achieving overall organizational goals was also part of discussion.

There were lots of questions from participants and Mr. Khandelwal gave answers to all these queries with the satisfaction of the participants.

Centre for Independent Directors, IICA organized Power Panel: Role of Independent Directors and Discussion on the Consultation Paper issued by SEBI on Review of Regulatory Provisions related to Independent Directors program via live webcast for the members of Independent Director’s Databank on Thursday 08th April, 2021 in association with the Institute of Chartered Accountants of India.

The main objective of this event was to highlight the importance & relevance of Independent Directors for Corporate Governance and impact & requirement of proposals of SEBI Consultation paper.

The Program commenced on 08th April, 2021 at 02:00 PM with the theme address of CA Nihar N Jambusaria, President, The Institute of Chartered Accountants of India.

Panellists shared their views on role of Independent Directors to ensure norms of Corporate Governance which is key aspect of Investor confidence. Various proposals of SEBI Consultation were also part of discussion. Panellists went through whole consultation paper and discussed requirements of such proposals and how these proposals will affect position of Independent Directors or will make various process complicated? Dual approval of shareholders and Audit committee & Related Party Transactions were important part of discussion apart from other matters relating to consultation paper.

There were lots of questions from participants and panellists gave answers to all these queries with the satisfaction of the participants.

Centre for Independent Directors, IICA organized Power Talk with Prof. S. Raghunath: Differing Roles in Different Boards program for the members of Independent Director’s Databank on Monday 05th April, 2021.

The main objective of this event was to highlight changing roles of Independent Directors in different corporate environments.

The Program commenced on 05th April, 2021 at 04:00 PM with the theme address of Dr. Niraj Gupta, Head, School of Corporate Governance and Public Policy & Nodal Officer, Centre for Independent Director, IICA. He briefed the participants about Dr.(Prof.) S. Raghunath and the importance of Independent Directors in corporate governance.

Principal speaker:
Dr. S Raghunath is Professor of Strategy Area at Indian Institute of Management Bangalore was Dean (Admin). He specializes in Strategic Alliances and Strategic Leadership. He has research and published papers and case studies on the role of Corporate Boards and the contribution of Directors.He is also the Chairperson for the Centre for Corporate Governance and Citizenship at IIM Bangalore.

Prof. Raghunath shared his expertise on corporate matters specifically in International alliances and role of Independent directors in such strategies. Independent directors are essentially the custodians of good corporate governance. Though not required to be involved in the day-to-day running of companies, they are expected to monitor the actions of the executives and safeguard the interests of stakeholders. He emphasised on the matter that how Independent directors could hold core values of their role while serving for different corporate cultures.
