The Indian Institute of Corporate Affairs (IICA) conducted “Master Class on Building Better Boards” from 07-09 April 2022.
Last Batch of the similar Program on 11-13 Nov 2021 where 40 Senior Executives had attended the program and it was conducted at Bogmallo Beach Resort.
The programme was organized by the School of Corporate Governance and Public Policy (SoCGPP), IICA and witnessed engaged participation of 44 executives including Independent Directors, Executive Directors, Key Managerial Personnel, Lawyers and practicing professionals.
The objective of the program was to expose the participants with the concepts of Effective Corporate Governance, board governance & effectiveness, regulatory framework, codes and practices, board dynamics, Effectiveness of Board committees, Corporate Scandals, Sustainability & Climate Risk and its impact on supply chain & overall business process and also the best practices from within the country and rest of the world for preparing them for board member roles.
Over the duration of three days the program discussed about CG concepts, regulatory framework, Key aspects of Companies Act, 2013 and provisions of SEBI LODR, Roles and responsibilities of directors, Audit committee & its role in governance, role of the board and its effectiveness, board dynamics, transformational leadership, concept of ESG & responsible business conduct and associated regulatory framework including NGRBC for compliance among others.
The program also involved a Case based mock board room simulation exercise for experiential learning and to understand practical aspects which a board member supposed to manage. This simulation exercise provided opportunity to participants to put them in the position of decision maker and helped them to understand importance of coordination among board members for effective decision making. The Program was well received by the participants with excellent feedback.
Other important highlights of the program were discussion on essence of Independent Directorship & increasing responsibilities and financial aspects for better decision making given the fact that it plays most important role in the board discussion over planning & strategies. Further, active participation of the participants in question & answer and discussion on contemporary issues having effect on business process and corporate culture was also notable.
The program was inaugurated by Dr. Anup K Pujari, Former Secretary, GOI. The welcome address to the program was delivered by Dr Niraj Gupta, Program Director.
The Program concluded with a Valedictory Address by Ms. Neera Saggi, IAS (Retd) followed by certificate distribution by Dr. Niraj Gupta, Course Director and coordinated by Mr. Manoj Singh, Chief Program Executive.
